Advanced Chemistry Development Inc., individually owns all right, title, and interest, including copyright, in ACD/Interactive Lab and retain all such rights in providing information to you. They have an economic interest in this intellectual property and have issued guidelines and restrictions on the way that their retrieved data can be used and distributed.
ACD/Interactive Lab restrictions can change at any time, without advance notice and you should make it a practice to check these guidelines when you are using the service.
The availability of predictions on ACD/Interactive Lab may change over time without advance notice. As additional databases are added to ACD/Interactive Lab, we will notify you of their availability, prices and any applicable use and distribution restrictions.
While Advanced Chemistry Development Inc., will use its best efforts to deliver complete and accurate information, and any and all ACD/Interactive Lab services rendered hereunder, Servicers, their officers, directors and employees DO NOT MAKE ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES AS TO THE ACCURACY OR COMPLETENESS OF THE SERVICES OR THE INFORMATION CONTAINED THEREIN, ARE NOT RESPONSIBLE FOR ERRORS AND OMISSIONS IN: ANY SERVICE TO WHICH YOU HAVE ACCESS PURSUANT TO THIS AGREEMENT, SEARCH RESULTS DELIVERED HEREUNDER, DO NOT REPRESENT THAT THE USE OF SERVICES PROVIDED HEREUNDER WILL NOT INFRINGE THE PATENT, COPYRIGHT OR TRADEMARK OF A THIRD PARTY, AND WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS) ARISING OUT OF ANY SERVICES RENDERED OR INFORMATION PROVIDED OR YOUR FAILURE TO ACCESS SUCH SERVICES OR ANY FAILURE TO RENDER SERVICES PURSUANT HERETO, OR IN ANY WAY ARISING FROM THIS AGREEMENT.
You bear all risks and costs associated with use of ACD/Interactive Lab, including applicable taxes. You must supply accurate, complete, and current information during registration. We will use our best efforts to restore service as quickly as possible in the unlikely event that online services are interrupted due to a system fault. Interruptions may occur due to conditions beyond our control such as problems with Internet communication or your Internet browser.
We will not knowingly disclose your account-related information to third parties except as required to other ACD/Interactive Lab services. Because of the current Internet environment, the confidentiality of search term input, results and your login information cannot be guaranteed. We may also provide additional services in the future.
Each month, we will invoice you for all ACD/Interactive Lab services rendered. Amounts charged will be according to the then- current Price List. Payments for invoiced amounts are due and payable in the currency stated on the invoice within 30 days of the invoice date.
All invoices that are not paid within 30 days shall be subject to a finance charge of 1.5% per month, or the maximum allowed by law, if lower than 1.5%. The charge of 1.5% is added for each full or partial month that an invoice is overdue. We may terminate service to you if you don't pay within 60 days of the invoice date.
Your access to ACD/Interactive Lab can begin upon your acceptance of these Terms and Conditions, completion of the registration process and our issuing your account-related information. Please notify us if you decide to discontinue ACD/Interactive Lab access so that we may deactivate your login ID. Deactivation may take up to 30 days and we will invoice you for any charges accrued prior to deactivation.
We may suspend or terminate ACD/Interactive Lab access in the future. We will use best efforts to provide you advance written or online notice of this. If we part ways, however, the disclaimers and limits of liability contained herein will still apply.
REGARDLESS OF ANY OTHER PROVISION IN THESE TERMS AND CONDITIONS, WE MAY CHANGE PRICES AND ANY OTHER TERMS AND CONDITIONS AT ANY TIME. NOTICE OF SUCH CHANGES MAY BE SENT TO YOU AT YOUR BILLING ADDRESS OR ONLINE. YOUR CONTINUED USE FOLLOWING SUCH CHANGES IS ACCEPTANCE OF THOSE CHANGES.
If we do not exercise one of our rights in these Terms and Conditions, this doesn't mean we wouldn't exercise it in the future. Neither the course of conduct between parties nor trade practice shall act to modify any Term or Condition of this Agreement.
This Agreement is governed by the laws of Ohio of the United States of America.
These Terms and Conditions and the use and distribution restrictions applicable to the databases are the entire understanding between the parties and supersede all prior agreements, oral or written regarding ACD/I-Lab. The terms of any Subscription Purchase will not modify or extend this Agreement.
THESE TERMS AND CONDITIONS WILL GOVERN IN THE EVENT OF ANY DISCREPANCY BETWEEN YOUR SUBSCRIPTION PURCHASE AND THESE TERMS AND CONDITIONS.
